These Terms & Conditions ("Terms") govern your access to and use of the website at halsteadsystems.com (the "Site") and any consulting or related services provided by Halstead Systems ("Halstead Systems," "we," "us," or "our"). By using the Site or engaging our services, you agree to these Terms. If you do not agree, please do not use the Site or our services.
1. Our services
Halstead Systems provides AWS cost optimization and cloud infrastructure consulting for software companies. Our services may include a free introductory review of your AWS spend, a paid assessment producing a ranked savings plan, and, where separately agreed, implementation of approved changes. The specific scope, deliverables, and fees for any paid engagement are set out in a separate written proposal or statement of work agreed between you and us.
2. The free review
The free AWS cost review is offered for informational purposes to help you decide whether a further engagement makes sense. It does not require access to your AWS account and creates no obligation on either party to proceed further.
3. Fees and payment
Fees for paid assessments and implementation work are quoted in advance and agreed in writing before work begins. Unless stated otherwise in a proposal, invoices are due within the period specified on the invoice. We may pause or stop work on overdue accounts after reasonable notice.
4. No guarantee of results
We bring diligence and experience to every engagement, but cloud spending depends on factors outside our control, including your architecture, usage patterns, and AWS pricing. Any figures, ranges, or projected savings we share are good-faith estimates, not guarantees. Actual results will vary, and we do not warrant that any particular level of savings will be achieved.
5. Client responsibilities
To get useful results, you agree to provide accurate information about your environment and to make appropriate personnel available during an engagement. You are responsible for ensuring that anyone granting us access or instructing us to make changes is authorized to do so on your behalf.
6. Account access and changes
Where an engagement requires access to your AWS environment, it is provided through a read-only role that you create and can revoke at any time. We do not make changes to your production environment without your prior written approval, and implementation work is scheduled within change windows you agree to in advance.
7. Confidentiality
We treat non-public information you share with us in connection with an engagement as confidential and use it only to perform the services. We are happy to sign a mutual non-disclosure agreement. Each party may disclose confidential information where required by law, provided it gives reasonable notice where permitted.
8. Intellectual property
The Site and its content, including text, design, and graphics, are owned by Halstead Systems and protected by applicable law. Deliverables we prepare specifically for you become yours upon full payment, except that we retain ownership of our pre-existing tools, methods, and general know-how, which we may continue to use.
9. Third-party services
The Site and our services rely on third-party providers, including Amazon Web Services and the scheduling tool used to book calls. Your use of those services is subject to their own terms, and we are not responsible for their availability, content, or practices.
10. Disclaimer of warranties
The Site and, except as expressly stated in a signed proposal, our services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
11. Limitation of liability
To the fullest extent permitted by law, Halstead Systems will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising out of or relating to the Site or our services. Our total liability arising out of or relating to any engagement will not exceed the fees you paid to us for that engagement.
12. Indemnification
You agree to indemnify and hold harmless Halstead Systems from claims, losses, and expenses arising out of your breach of these Terms, your misuse of the Site, or your violation of any law or third-party right.
13. Governing law
These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Virginia will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, subject to any different dispute-resolution terms in a signed proposal.
14. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
